What is the Beneficial Ownership Declaration and why should I submit it in Portugal?

The beneficial owner is defined as any natural person who ultimately owns and/or controls a legal entity.

It is considered a Beneficial Owners of a legal entity a Natural Person(s) who ultimately own or control a legal person through:

  • Direct ownership of stakes representing more than 25% of the company's share capital;

  • Indirect holding of more than 25% of the company's share capital.

  • Exercise control over the Company, by other means;

  • Holding top management positions (e.g. Board of Directors), when it has not been possible to identify any person in terms of the previous points.

The declaration of shareholders and beneficial owners must be signed by the legal representative in the business relationship of the legal person, and its main purpose is to identify the natural person(s) referred to above, when it is not possible to verify by use of other documents.
